Social Media Services Terms
These terms govern Grid Media's social media strategy, content production, community management, and paid campaign support. They supplement our Terms & Conditions and form part of your proposal/SOW.
1. Scope and deliverables
- Included services can cover strategy, channel setup, profile optimisation, content calendars, copy and creative (static, video, motion), scheduling/automation, community moderation, campaign activation, and reporting.
- Deliverables, revision rounds, platforms, cadence (retainer or project), and KPIs are defined in your proposal. Work outside that scope requires written approval and may be billed separately at standard rates.
2. Access, security, and ownership
- You supply admin/collaborator access to social accounts, ad managers, analytics, and third-party tools.
- You retain ownership of accounts/properties and are responsible for MFA, permissions, and revoking access when no longer required.
3. Content, approvals, and rights
- Calendars and key campaigns are agreed in advance where practicable; rapid-response publishing can be pre-approved in writing.
- You warrant you have rights/clearances and sponsor/talent approvals for supplied assets and data.
- We may refuse, edit, or withdraw content that is unlawful, non-compliant, or likely to breach platform rules.
4. Advertising budgets and third-party costs
- Media spend for paid campaigns is funded directly by you unless otherwise agreed; our management/production fees are separate from ad spend.
- Third-party costs (e.g., stock, music, plugins, schedulers) are either purchased by you or recharged at cost (plus any agreed markup); their licences govern permitted use.
5. Compliance
Campaigns must comply with platform terms, ASA/CAP guidance, sponsorship/influencer disclosure rules, privacy/data protection, and applicable advertising law. You agree to supply required disclosures/hashtags and any sponsor statements.
6. Performance and reporting
Performance depends on audience, creative, budget, algorithms, and seasonality; no specific follower, engagement, or conversion outcomes are guaranteed. Reporting cadence and KPIs follow the proposal.
7. Timelines and changes
- Schedules rely on timely access, assets, and approvals. Client-caused delays may extend dates and do not constitute breach by us.
- Material scope changes may require a revised proposal/fee before work continues.
8. Fees and payment
- Fees/deposits are set in your proposal; retainers/recurring services are billed in advance. Invoices are payable Net 7 unless otherwise agreed.
- We may suspend publishing or access for overdue balances; statutory late fees may apply where permitted.
9. Suspension and termination
We may pause services for non-payment or compliance risk. On termination, we return credentials you provided and hand over in-scope editable assets once all fees are settled; account/platform ownership remains with you.
